Capital in close formation.

Investment thesis

Computing power, energy and the patents beneath them

Demand for computing power is no longer constrained by chips, but by energy and the cost per operation. Three things hold value at the same time — and Falanga has access to all three.

01

Technology

A holding of approximately 21% in CyberSwarm. More than thirty patents, IGZO memristors and an estimated lead of five to seven years over comparable projects.

02

Hard assets

270 ha at Rudniki under an LOI, a 110 kV line adjoining the site and an agreed financial commitment for AviaHub.

03

People and framework

AVANT as both investment manager and administrator under CNB supervision, Falanga Invest Asset as investment adviser, and ELQ and UNIZA as delivery and research partners.

Why the three belong together

These are not three separate bets. A campus valued by the megawatt is worth more if the computing power inside it consumes less energy per operation; and patents that lower that figure are worth more if there is somewhere to prove them. Holding all three means one asset raises the value of the next — and that is precisely what a purely financial investor cannot reproduce by buying any one of them on its own.

Expected return

What the project earns and what the share receives

The published expectation is a gross figure at project level. The sub-fund prospectus (statut) then pays a preferred return to the investment share classes, splits the excess with the management shares and caps each class annually. Those three steps stand between the project and the investor.

What each share class of the Capital Asset sub-fund receives

Share classPreferred returnShare of the excessAnnual cap
PIA EUR7%30%20% p.a.
PIA CZK8%30%20% p.a.
PRIA EUR9%50%25% p.a.
PRIA CZK10%50%25% p.a.

A worked example

If the sub-fund earns 13% gross — the top of the published range — a PIA EUR share receives its preferred return of 7% plus 30% of the six points above it, that is 8.8%. A PRIA EUR share receives 9% plus half of the four points above it, that is 11.0%. At 10% gross the same calculation gives 7.9% and 9.5%.

The remainder of the excess accrues to the management shares. Before subscribing, read the KID for the specific share class: it sets out the risk indicator, the performance scenarios and the total costs — and those are what govern.

Gross expectations as published by the fund; the distribution parameters follow the sub-fund prospectus (statut). Expected returns are neither assured nor contractually guaranteed and the fund has no performance history. Figures are stated before taxation at investor level.

Projects

The formation is made of individual projects

8 projects across three disciplines — from in-memory computing through energy infrastructure to operating real assets. Each has its own page setting out the parameters and the open points.

All projects

Where the assets sit

Four countries, one regional thesis

Lower entry prices for land, energy and labour than in western Europe — with comparable infrastructure quality and access to European funding programmes.

Risk profile

What we manage and how

Portfolio build-up phase

Capital is still being allocated. An investor enters ahead of the main revaluation of the assets; drawdowns are tied to milestones.

Technology concentration

Three lines rest on CyberSwarm. For Neuromesh there is an eighteen-month plan for technological independence.

Data centre delivery

Target capacity depends on the high-voltage connection. Construction is phased from 100 MW; the energy layer is being addressed with ELQ from the outset.

Intellectual property

The patents are at application stage. A priority application has been filed; an expert patentability and freedom-to-operate search is still missing, and sub-licensing rights are being confirmed before any agreements with manufacturers.

Liquidity and currency

Redemption is restricted by the sub-fund prospectus (statut): a request may be made no earlier than three years from the start of issuance, with settlement within six months. Share classes are issued in both CZK and EUR while the assets sit in Poland, Slovakia, Romania and the Czech Republic — a currency mismatch therefore remains between the share class and the underlying asset.

Zoning and regulation

Several projects depend on decisions outside the fund's control: an amendment to the municipal zoning plan in Poland, connection terms from the grid operator, and public co-financing for AviaHub. Each is a condition of value rather than a formality, and each can be delayed.

A complete list of risk factors is set out in the prospectus (statut) of the relevant sub-fund.

Team

The people holding the shield

Investment decisions are backed by experience in European financial institutions, in public finance, in energy, in industry and in technology investment.
